2. About the Service

ThinkNEO operates an AI Control Plane and Gateway. We route, govern, observe, and secure API requests between your applications and third-party AI Providers. We do not host AI models. Your requests are forwarded to the Provider(s) you select, subject to your own API keys or credentials with those Providers.

3. Trial Period

3.1. New Customers receive a 30-day Trial with up to 1,000 Requests at no charge.

3.2. The Trial expires automatically at the earlier of (a) 30 days from Workspace creation or (b) exhaustion of the 1,000-Request allowance.

3.3. At the end of the Trial, access to the Service is suspended unless the Customer upgrades to a paid Tier. No data is deleted for an additional 30 days, giving you time to decide.

4. Subscription Tiers & Pricing

4.1. The Service is offered in three Tiers: Starter, Growth, and Enterprise. Features, limits, and pricing for each Tier are published at thinkneo.app and may be updated from time to time.

4.2. Enterprise customers receive a custom quote and a separate order form. Enterprise features include white-label options, dedicated support, extended audit-log retention, custom SLAs, and access to the Enterprise Control Plane at thinkneo.ai.

4.3. ThinkNEO reserves the right to adjust pricing with 30 days' prior written notice. Price changes take effect at the start of your next billing cycle.

5. Billing & Payments

5.1. Subscriptions are billed on a recurring monthly or annual basis, as selected at checkout.

5.2. All subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.

5.3. Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.

5.4. Refund policy: If you cancel mid-cycle, you receive a pro-rata refund for the unused portion of the current billing period. Refunds are processed within 10 business days.

5.5. Overdue invoices accrue interest at 1.5% per month or the maximum rate permitted by Hong Kong law, whichever is lower.

6. Acceptable Use Policy

You agree not to use the Service to:

(a) Generate, store, or transmit content that is illegal under the laws of Hong Kong SAR or the jurisdiction in which you operate;

(b) Perform cryptocurrency mining, scraping, or automated extraction of AI Provider outputs for the purpose of training competing models;

(c) Reverse-engineer, decompile, or disassemble any part of the Service, or attempt to derive source code, algorithms, or architecture for the purpose of cloning ThinkNEO features;

(d) Resell, sublicense, or redistribute the Service on an as-is basis. White-label and OEM arrangements require an Enterprise Tier agreement;

(e) Violate applicable export-control laws, including but not limited to those of the United States (EAR, OFAC) and Hong Kong SAR;

(f) Transmit malware, perform denial-of-service attacks, or otherwise interfere with the integrity or performance of the Service or its infrastructure.

ThinkNEO reserves the right to suspend or terminate access for violations, with notice as described in Section 11.

7. Data Ownership

7.1. Customer Data. You retain all rights, title, and interest in your prompts, outputs, configurations, and any data you transmit through the Service ("Customer Data"). ThinkNEO does not claim ownership of Customer Data.

7.2. Processing. ThinkNEO processes Customer Data solely to provide and improve the Service, in accordance with our Privacy Policy and Data Processing Agreement.

7.3. No Training. ThinkNEO does not use Customer Data to train AI models.

8. Intellectual Property

8.1. ThinkNEO retains all rights, title, and interest in the Service, including its codebase, architecture, documentation, trademarks, and any improvements or derivatives thereof.

8.2. Nothing in these Terms grants you any license to ThinkNEO's intellectual property beyond the limited, non-exclusive, non-transferable right to use the Service during the term of your subscription.

9. Warranties & Disclaimers

9.1. ThinkNEO warrants that the Service will perform materially in accordance with its published documentation.

9.2. AI outputs are probabilistic. ThinkNEO does not guarantee the accuracy, completeness, or fitness for any particular purpose of any output generated by third-party AI Providers and routed through the Service. You are solely responsible for evaluating and validating AI-generated outputs before acting on them.

9.3. Except as expressly stated above, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

10.1. To the maximum extent permitted by applicable law, ThinkNEO's total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to ThinkNEO in the 12 months immediately preceding the event giving rise to the claim.

10.2. In no event shall ThinkNEO be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, even if advised of the possibility of such damages.

10.3. The limitations in this section apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if a limited remedy fails of its essential purpose.

11. Termination

11.1. By Customer. You may cancel your subscription at any time through your Workspace settings or by emailing legal@thinkneo.ai. Cancellation takes effect at the end of the current billing period, and a pro-rata refund is issued per Section 5.4.

11.2. By ThinkNEO for Breach. If you breach these Terms, ThinkNEO will notify you and provide 14 days to cure the breach. If the breach is not cured within that period, ThinkNEO may terminate your access immediately.

11.3. By ThinkNEO for Convenience. ThinkNEO may discontinue the Service with 30 days' prior written notice. In such case, a pro-rata refund is issued for the unused portion of any prepaid subscription.

11.4. Effect of Termination. Upon termination, your right to access the Service ceases. Customer Data is retained for 30 days post-termination, during which you may export it. After 30 days, Customer Data is permanently deleted.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.

13. Dispute Resolution

13.1. Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time of filing.

13.2. The arbitration shall be conducted in English, with the seat of arbitration in Hong Kong.

13.3. The arbitral award shall be final and binding on both parties.

14. General Provisions

14.1. Entire Agreement. These Terms, together with the Privacy Policy, DPA, and any order forms, constitute the entire agreement between you and ThinkNEO.

14.2. Amendments. ThinkNEO may update these Terms with 30 days' notice. Continued use of the Service after the notice period constitutes acceptance.

14.3. Severability. If any provision is held unenforceable, the remaining provisions continue in full force and effect.

14.4. Assignment. You may not assign these Terms without ThinkNEO's prior written consent. ThinkNEO may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5. No Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
